AD Ports Group Board Backs L’imad’s AED 6.25 Tender Offer

AD Ports Group’s Board of Directors recommend that shareholders accept the voluntary tender by L’imad, paving the way for full state ownership under Abu Dhabi’s latest SWF.

AD Ports Group’s Board of Directors has recommended that shareholders accept the voluntary tender offer made by L’imad Holding. This endorsement follows a fairness opinion provided by the group’s independent financial adviser: HSBC.

L’imad, a sovereign investor under the chairmanship of HRH Sheikh Khaled bin Mohamed bin Zayed Al Nahyan, operates through its wholly-owned subsidiary ADQ.

The fund announced a tender offer to acquire up to 100% of the outstanding shares in AD Ports Group earlier this month.

Shareholders who choose to accept this offer will receive AED 6.25 in cash for each share held. The tender offer is valid until 3:00 PM on 15 September 2026, unless an extension is announced.
