L’imad successfully concluded its voluntary tender offer for shares of Abu Dhabi Ports Company PJSC (AD Ports Group), increasing its ownership stake to over 98.5%.
The offer, launched on 18 August 2026 and concluding on 15 September 2026, met all conditions with settlement expected by 9 October 2026.
Tender Via ADQ
The tender offer was executed through L’imad’s wholly-owned subsidiary, Abu Dhabi Developmental Holding Company PJSC (ADQ).
ADQ will increase its stake from 75.4% to more than 98.5%. The finalisation of the offer is pending customary notifications required for the Capital Market Authority and the Abu Dhabi Securities Exchange.
AD Ports Group within L’imad
AD Ports Group operates within L’imad’s strategic Ports & Logistics platform, which also includes other assets such as Etihad Rail and Aramex.
ThE consolidation enhances L’imad’s role in boosting the UAE’s global connectivity and facilitating major infrastructural projects, including the development of a significant industrial freezone in KEZAD and the establishment of the region’s inaugural railroad network.
As part of the process, the payment to AD Ports Group shareholders and the subsequent registration of shares in ADQ’s name will occur by the October deadline.

L’imad retained Rothschild & Co Middle East Limited as its financial adviser for the tender, with Emirates NBD Bank PJSC and First Abu Dhabi Bank PJSC appointed as joint-lead receiving banks.
Additional financial entities, including EFG Hermes UAE Limited, are involved in the offer’s management.
