L’imad Satisfies Key Offer Conditions, Settlement Expected by 9 October

L’IMAD says offer conditions are satisfied, with settlement for remaining AD Ports Group shares expected by 9 October 2026.

L’IMAD, through its wholly-owned subsidiary ADQ, has announced that all conditions of its offer are satisfied, with the exception of certain routine notifications that remain to be submitted to the Capital Market Authority and the Abu Dhabi Securities Exchange.

Settlement of the Offer, including payment of the Offer price and the transfer of the acquired shares to ADQ, is expected to occur by 9 October 2026.

On 18 August 2026, L’IMAD, through its wholly-owned subsidiary ADQ, submitted a Voluntary Tender Offer to acquire up to 100% of the remaining shares in AD Ports Group.

Under the terms of the Offer, AD Ports Group shareholders who accept the Offer are entitled to receive AED 6.25 in cash for each share. The Offer remains open until 3:00 PM on 15 September 2026.
