Masdar has divested its stake in the Emirates Waste-to-Energy Company to Tadweer Group, exiting the Sharjah Waste-to-Energy plant joint venture it co-founded with BEEAH Group. The transaction, subject to standard closing conditions, positions Tadweer and BEEAH as sole partners in the venture.

The deal allows Masdar to focus on expanding its clean energy portfolio, while Tadweer consolidates its UAE operations and prepares for international growth in waste management and energy conversion. Tadweer stated that the acquisition of the Sharjah facility, which was commissioned in 2022 as the first commercial-scale waste-to-energy plant in the Middle East, will support its strategic objectives.

Under the new ownership structure, BEEAH and Tadweer will jointly manage the Sharjah facility and proceed with plans to double its waste processing capacity, scaling output from 30 megawatts to 60 megawatts. The plant is central to the UAE’s target of diverting landfill waste and increasing renewable energy generation.

The Sharjah facility processes non-recyclable waste to produce electricity and is designed to displace carbon emissions by converting municipal solid waste into energy. The project aligns with the UAE’s broader waste diversion and net-zero targets.

Masdar CEO Mohamed Jameel Al Ramahi stated that the company is confident in the continued success of the venture under the leadership of BEEAH and Tadweer. Tadweer CEO Ali Al Dhaheri noted that the asset acquisition would enhance its capabilities and contribute to the country’s circular economy agenda. BEEAH CEO Khaled Al Huraimel described the new partnership with Tadweer as a platform for further growth in the sector.

The transfer of ownership comes as the UAE intensifies its efforts in clean energy and waste management, ahead of key implementation milestones under its 2050 net-zero strategy. Tadweer has signalled plans to expand its regional and global footprint, with a focus on integrated waste recovery and conversion technologies.
